Affiliate Registration

PRICING
Affiliate agrees to offer Company its best net pricing on all charter services. A price that is deemed wholesale and not the same as what is offered to a retail client. It also agrees to not provide any other network, client or customer with pricing better than that quoted to Company for the same itinerary and/or trip once, Company has been quoted.

QUOTES
Affiliate agrees, when requested, to send to Company in writing, a quote for the services requested and to honor such quote for a period of no less than (10) days subject to Affiliate’s availability.

CHARTER ORDERS
Affiliate agrees, when requested to provide to Company, in writing a complete charter order for the purpose of securing transportation for clients of Company. This contract, confirmation shall be sent over within 24 hours of requesting it.

CANCELLATIONS
Company does not pay cancellation fees for charters canceled with more than 72 hours notice.

DEPOSITS & PAYMENTS
Company does not place deposits to hold charters. All charter orders will be prepaid within (3) days prior to the trip either by Company’s check sent USPS or overnight mail or by; Company’s client credit card, MasterCard, VISA or American Express. Where Company provides credit card information belonging to Company’s client, Company assures Affiliate that a proper credit card authorization form is on file authorizing such charges.

OVERTIME and/or DAMAGES
It is suggested that all affiliates have passengers sign a waiver of responsibility for damage. All damages should be collected from passengers at the time of such occurrence through your normal process of dealing with damages. Company will not be responsible for damages to Affiliates equipment. Overtime should not be provided on any charter without prior authorization from a staff member of Company. Affiliate understands that in the event of overtime, they will have to bill Company for such charges and only when Company collects overtime fees from its clients will these fees be paid. Company will not pre-pay overtime charges. Authorization for overtime should also be accepted by the lead passenger of the group, in writing and, with authorization from Company collection of those fees may be required to take place at the time of the additional use.

VEHICLE CARE
As an affiliate of Company, you agree to insure that all buses provided for charter services on behalf of Company will be licensed, insured, inspected and in compliance of all local, State and Federal regulations governing the operation of such equipment. In addition, you agree that this equipment is in good working condition and free of defects including but not limited to amenities, restrooms, video equipment and other passenger convenience items.

DRIVERS
Affiliate agrees that all drivers in operation of buses and services on behalf of Company are licensed and listed as driver’s on Affiliates insurance. In addition, Affiliate agrees that all drivers carry the proper certification, licenses and endorsements to operate the equipment scheduled.

INSURANCE
Affiliate agrees to carry a minimum of $5,000,000.00 at all times, on all vehicles scheduled and operated for Company’s clients. In the event of insurance cancellation, Affiliate will notify the Company prior to cancellation when and where charters are scheduled for service that would be performed during the lapse of insurance. No charter shall be provided if there is not insurance in place and Company is not in possession of a valid insurance certificate. You must be able to list Agape Travel & Tours as an "additional insured" on your policy and have your broker/agent or insurance company furnish us with an original insurance certificate showing this.

INTELLECTUAL PROPERTY-CLIENT CONFIDENTIALITY
All clients, passengers and customers presented to Affiliate from Company are the sole property of Company. At no time prior to the charter, during the charter or after the charter shall the Affiliate sell, market or promote its service or brand to these clients, passengers or customers without the consent of Company. Violation of this will result in potential legal action for the payment of damages as deemed appropriate. All information pertaining to the charter order provided by the Company is confidential. This may include names, address and payment information. At no time shall Affiliate discuss with clients, passengers or customers the cost of the charter billed to Company as this amount will be less than the actual amount charged, billed and collected from clients of Company. Questions about charges should be directed to the clients, passengers or customers account executive at Company.

EQUIPMENT FAILURE or OVERBOOKING
It is, at all times, once contracted and paid for Affiliate to provide the service to Company’s clients regardless of any act other than those not preventable and considered only as “acts of god”. Affiliate has the responsibility at his/her cost, regardless of sub-contracting costs, equipment replacement costs or otherwise to provide the services contracted for with no exception to that of overbooking or equipment failure. ( I.E., this means if your equipment fails on a trip from Denver to Los Angeles you are liable to replace the equipment or sub-contract the charter to another company for completion without cost or inconvenience to Company and/or it’s clients. )

SUBLET and FARMED-OUT SERVICE ORDERS
At no time, shall Affiliate sub-let or farm out work provided to them from Company to another service, charter company or individual without consent and authorization from Company.

LAW
This agreement is protected under the laws of the State of Nevada disputes regarding this agreement will be handled through Clark County, State of Nevada.

ENTIRE AGREEMENT
This agreement is the sole agreement between the Affiliate and Company. There is no other agreement either expressed, implied or in writing. By making application as an affiliate with Agape Travel & Tours, you agree to the above terms and conditions if approved. By registering with our company, you agree to the above terms and conditions of service.
